1. Acceptance

By accessing or using TradeConnect (the “Platform”), operated by GroceryList Group, you agree to these Terms. If you are using the Platform on behalf of a business, you represent that you are authorized to bind that business.

2. Platform Usage

TradeConnect provides tools for sourcing, trade documentation, shipment coordination, fulfillment, billing, and partner collaboration. Specific modules and features available to your account depend on your role, plan, and verification status.

3. User Responsibilities

• Provide accurate company, contact, and trade information.
• Keep credentials confidential and notify us of any unauthorized access.
• Comply with all applicable laws — including export controls, sanctions, customs, tax, and product-safety regulations relevant to your shipments.
• Do not attempt to disrupt the Platform, reverse-engineer it, or use it to send unlawful, infringing, or fraudulent content.

4. Fees and Billing

Pricing for paid features, freight services, fulfillment, and partner services is presented at the point of purchase or in a signed commercial agreement. Charges are non-refundable except where required by law.

5. Third-Party Partners

TradeConnect integrates with carriers, brokers, freight forwarders, shipping lines, insurers, and other partners. We are not responsible for the acts or omissions of independent third-party providers, though we work to coordinate resolution of operational issues.

6. Disclaimers

The Platform is provided on an “as is” and “as available” basis without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, and non-infringement.

7. Limitation of Liability

To the maximum extent permitted by law, TradeConnect and GroceryList Group will not be liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, data, or goodwill arising out of or related to use of the Platform. Our aggregate liability for any claim is limited to the fees you paid us in the twelve months preceding the claim.

8. Termination

We may suspend or terminate your access for breach of these Terms, suspected fraud, or to protect the security and integrity of the Platform. You may close your account at any time by contacting us.

9. Governing Law and Jurisdiction

These Terms are governed by the laws of Jamaica, without regard to its conflict-of- laws principles. Disputes will be resolved exclusively in the competent courts of Kingston, Jamaica, unless mandatory law of your jurisdiction provides otherwise.

10. Changes

We may update these Terms from time to time. Continued use of the Platform after an update constitutes acceptance of the revised Terms.
